Terms of Service

Last updated: October 7, 2026

Welcome to Codu. These terms are an agreement between you and Codu ("we" or "us") covering your use of the Codu website, console and API (together, the "Service"). By signing up for, signing in to or using the Service, you confirm that you have read and agree to these terms and our Privacy Policy.

If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these terms for it.

1. The Service

The Service gives you access to text and image models from multiple providers through a single API, billed by actual usage. The models and prices currently available are listed on the Models and Pricing pages.

The Service offers three channels: Shared, Dedicated and Enterprise. See the Channels page for what each includes. You choose a group when you create an API key, and the group name shows which channel it belongs to.

For the Enterprise channel, the scope, prices and commitments are set by the signed contract. Where the contract and these terms differ, the contract prevails.

2. Accounts and API keys

Sign up with an email address you can receive mail at, or sign in with Google. Your account is for your own use only. Do not lend, transfer or sell it.

Keep your password and API keys safe. All calls made with your account or keys count toward your usage and are charged to your balance. If a key leaks, delete it in the console right away. If your account is compromised, contact us as soon as possible.

If you join an organization, your calls there are limited by the quota its admin sets, and the admin can see your email, your name in the organization, your quota and how much of it you have used.

3. Acceptable use

When using the Service, you must not:

  • break applicable laws, or create or spread illegal, infringing, fraudulent, sexual, violent or otherwise harmful content;
  • violate the usage policies published by the provider of the model you call (such as the usage policies of OpenAI, Anthropic and Google);
  • attack or disrupt the Service or upstream services, probe for vulnerabilities, or get around billing, quota, rate or security limits;
  • register accounts in bulk, lend, transfer or sell accounts, or abuse referral rewards, promo codes or other promotions;
  • infringe the intellectual property, privacy or other rights of others.

We may run automated safety checks on requests. If you break these terms, we may refuse the requests involved and limit, suspend or close your account as appropriate. You are liable under applicable law for any loss caused to us or others.

4. Billing and top-ups

The Service is pay-as-you-go, with no monthly fee and no minimum spend. Each call is charged to your balance at the unit price of the group used at the time of the call. Balances are in US dollars. The Pricing page shows the actual unit price of each group, and every charge is itemized in the console.

Prices may change, for example when a provider changes its prices. New prices apply from the time they are published on the Pricing page. Completed calls are charged at the price in effect when they were made.

You can top up with redeem codes or other methods we offer, and the funds are available once credited. Balances cannot be withdrawn or transferred to another account.

Amounts received through referral rewards, promo codes, promotions and similar means ("bonus credit") can only be spent on the Service. They cannot be withdrawn or refunded.

Invoices (not VAT invoices) are available for the Dedicated and Enterprise channels. Contact us to request one. Bank transfers are not supported at this time.

5. Refunds

Within 7 days of a top-up, you can contact us to request a refund of the unused part of that top-up.

Top-ups older than 7 days, amounts already spent and bonus credit are not refundable.

Refunds go back through the original payment method, and the arrival time depends on that payment channel. We may refuse refunds that abuse this policy, such as using refunds to extract bonus credit.

Refunds for the Enterprise channel follow the contract.

6. Availability

We do our best to keep the Service stable, but we do not guarantee that it will be uninterrupted or error-free. Provider outages, network issues and maintenance can cause calls to fail or slow down.

Providers may change or retire models, and we will adjust the available models accordingly. When downtime for maintenance is needed, we will try to give notice in advance.

7. Inputs and outputs

You are responsible for the content you submit to the Service and confirm that you have the right to use it.

Model outputs are generated by AI and may be inaccurate, incomplete or untrue. They are not legal, medical, financial or other professional advice. Review and verify them before you rely on them.

As between you and us, you own your inputs and outputs, and we claim no rights in them. Your use of outputs must also follow the policies of the relevant provider. See the Privacy Policy for how we handle your content.

8. Suspension and termination

You can stop using the Service at any time. To close your account, contact us.

We may suspend or close your account if you break these terms or the law, or if the account poses a security risk.

If we decide to shut down the Service, we will notify you in advance and refund the unused top-up balance in your account (excluding bonus credit).

9. Disclaimer and limitation of liability

The Service is provided as is. To the extent permitted by law, we are not liable for indirect losses, lost profits or lost data arising from service interruptions, model outputs, the acts of third-party providers, poorly protected keys or similar causes.

To the extent permitted by law, our total liability to you in connection with the Service is limited to the amount you actually paid for the Service in the 3 months before the event giving rise to the claim.

10. Changes to these terms

We may update these terms. Updates are posted on this page with a new date, and we will notify you by email or in-site notice of changes that materially affect your rights. If you keep using the Service after an update takes effect, you accept the updated terms.

11. Disputes

Any dispute arising from these terms or the Service should first be resolved through good-faith negotiation. If that fails, either party may bring the dispute before a competent court where we are located.
